Experienced Transactional Paralegal
Location: Spring, Texas
Job Type: Full-Time/In Office

Firm Overview

We are a well-established, mid-sized Texas business law firm with multiple practice areas and a strong professional support team. Our transactional practice handles sophisticated business transactions, mergers & acquisitions, formations & governance, commercial real estate, and finance matters for businesses, investors, and lenders. We are seeking an experienced Transactional Paralegal to support this growing practice group.

Position Summary

The Transactional Paralegal will provide comprehensive support to attorneys handling business transactions, commercial real estate, and financing matters. The ideal candidate is highly organized, detail-oriented, and experienced in managing complex transactions from inception through closing.

Key Responsibilities

Business & Corporate Transactions

- Assist with entity formation, restructuring, and governance matters (LLCs, corporations, partnerships)
- Prepare and organize contracts, agreements, resolutions, and ancillary transaction documents
- Maintain entity records and assist with ongoing compliance requirements
- Prepare closing checklists and assemble closing binders

Commercial Real Estate & Finance

- Support commercial real estate acquisitions, dispositions, leasing, and development transactions
- Assist with lender-side and borrower-side financing matters
- Review title commitments, surveys, and due diligence materials
- Coordinate closings with lenders, title companies, opposing counsel, and clients
- Prepare and file UCC financing statements and conduct UCC searches

General Responsibilities

  • Manage multiple matters and deadlines simultaneously
  • Maintain electronic and physical files in accordance with firm standards
  • Communicate professionally with clients, opposing counsel, and third parties
  • Work collaboratively with attorneys and support staff across practice groups

Job Requirements

Qualifications

Required

- Minimum 5+ years of paralegal experience in a transactional or business law practice
- Demonstrated experience with commercial real estate and finance transactions
- Strong proficiency with Microsoft Word, Outlook, and Excel
- Excellent organizational skills and attention to detail
- Ability to work independently and manage competing priorities

Preferred

- Texas paralegal certification or equivalent practical experience
- Experience with document management and practice management systems
