 Job Overview:

 This part-time contract role for a legal analyst has the ability to work remotely from home between 30-35 hours a week for approximately 6 months providing support to the legal team focusing on basic contract review, administrative support around board duties and ongoing support with our legal database. Reporting to the Assistant General Counsel, the Corporate Paralegal provides general day-to-day support in the areas of corporate securities, corporate governance, and general corporate matters. The ideal candidate is a detail-oriented, confident, self-motivated, and creative problem solver who will work collaboratively as part of a fast-paced legal department, and who can communicate effectively with others, both within and outside of the organization.


  • Public Company Compliance
    • Assist in preparing and filing Section 16 Forms 3, 4 and 5
    • Assist with Proxy Statement preparation, by preparing timeline, maintaining drafts and supporting materials, and managing the printing and distribution processes
    • Assist in complying with NYSE listed company rules and managing the Listing Manager database
  • Viad Corporate Secretary & Governance
    • Prepare preliminary drafts of Board of Directors schedules, agendas, and meeting notices
    • Prepare preliminary drafts of Board and Committee meeting minutes and resolutions, and Unanimous Written Consent actions
    • Provide support to Corporate Secretary, as requested
    • Assist in preparing and publishing quarterly dividend notices
    • Assist Investor Relations with locating historical shareholder information and responding to shareholder requests
  • Subsidiary Governance
    • Prepare and review resolutions for US and international subsidiaries
    • Maintain and update the OneWorld/Blueprint database
    • Assist in forming new, and dissolving unneeded corporate entities, file requisite qualifications as foreign corporations and other corporate documentation, as necessary
    • Prepare and manage execution of certificates of secretary, and incumbency certificates
  • Assist with the preparation, maintenance, and docketing of annual and other periodic corporate reports, regulatory licensing and filings, including tax clearances
  • Notarize documents and manage apostille process
  • Prepare entity organizational charts using Chart It program
  • Support of Company & Business Groups
    • Partner with Human Resources to prepare and distribute equity award agreements
    • Interact with outside attorneys as neededAssist Attorneys with special projects as
    • Assist Attorneys with special projects as assigned



The ideal candidate would have a Bachelor’s Degree and/or ABA Paralegal Certificate but a legal degree would be a plus. We are looking for a minimum of 4 years’ related experience, preferably in an in-house legal department with a minimum of 2 years’ Proxy “season” experience. High level of proficiency with Microsoft Office and a working  knowledge of legal terminology with an appreciation for the importance of maintaining confidentiality at all times and recognition of confidential and sensitive information and documentation.

  • Bachelor’s Degree and/or ABA Paralegal Certificate

  • Highly skilled at Microsoft Office products

  • Self-starter who is able to work independently with minimal direction
  • Demonstrated ability to manage multiple complex projects simultaneously in a fast-paced environment
  • Excellent written and verbal communication skills
  • Exceptional attention to detail and excellent organizational skills
